Atlassian Marketplace 이용 약관

1.1. 사용자란? Atlassian Marketplace를 통해 제공되는 모든 앱은 Atlassian 제품과 함께 사용하도록 설계되었으므로 본 이용 약관에서 “사용자”는 앱을 활성화 또는 사용하는 Atlassian 제품에 대한 라이선스 또는 구독을 보유한 Atlassian 고객(예: 개인 또는 법인)을 지칭합니다. Atlassian 고객은 고객을 대신하여 Atlassian Marketplace를 사용하거나 주문하는 모든 사람이 본 이용 약관을 준수하도록 할 책임이 있습니다. Atlassian 고객을 대신하여 Atlassian Marketplace를 사용하거나 주문하는 개인은 Atlassian 고객이 본 이용 약관에 구속력을 갖게 합니다. 본 이용 약관은 Marketplace를 탐색하거나 리뷰를 남기는 경우에도 적용됩니다.

1.2. Types of Apps. Some Marketplace Apps are made available at no charge, and others require payment of fees. The listing for each App will identify the provider of the App (“Vendor”), which may be Atlassian or a third party. Apps for which Atlassian is the Vendor are “Atlassian Apps,” and Apps for which the Vendor is a third party are “Third Party Apps”. Most Vendors are third parties, who create, own and are responsible for their own Apps as further described in these Terms of Use. In all cases, you may only use Apps with the Atlassian Products with which they are designed to be used (as identified in the App’s listing).

1.3. 앱 찾기 및 주문. 1.4. Marketplace Policies. Your Orders and use of the Atlassian Marketplace are also subject to Atlassian’s Marketplace FAQs and posted policies, as may be modified from time to time (“Marketplace Policies”), which are incorporated into these Terms of Use.

2.1. 주문 세부 정보. 주문은 공급업체, 앱의 승인된 사용 범위(예: 플랫폼 또는 사용자 수) 및 해당하는 경우 라이선스 또는 구독 기간을 식별합니다. 주문을 완료하면 Atlassian은 Marketplace 정책에 설명된 대로 관련 라이선스 또는 액세스 키를 포함하여 해당 앱에 대한 액세스 권한을 제공합니다.

2.2. Paid Apps. To receive access to paid Apps, you must pay Atlassian the fees, including all taxes, indicated at the time of your Order. Terms for renewals, including pricing, will be described within the App’s listing on the Atlassian Marketplace (or if different, your Order). You can disable renewals by visiting my.atlassian.com (but you will not receive any refunds except as described in Section 2.3). For any Third Party App, you acknowledge and agree that Atlassian is the Vendor’s commercial agent and that you are required to make any related payments directly to Atlassian (and your sales contract with Atlassian includes these Terms of Use and the applicable Order). However, after you complete your Order, your usage of any Third Party Apps will be governed by the applicable Vendor Terms, as described in Section 3.

2.3. 반품 정책. Atlassian 앱의 반품 및 환불에는 섹션 3.1(b)에 정의된 대로 Atlassian 약관이 적용됩니다. 타사 앱의 경우 주문한 날로부터 30일 이내에 주문을 취소하고 앱을 반품할 수 있습니다. 30일 이내에 타사 앱의 주문을 취소하는 경우 Atlassian은 해당 타사 앱에 대해 지불한 금액을 환불하며, 사용자는 앱 사용을 중단하고 소유한 앱 사본을 삭제해야 합니다. 본 섹션 2.3에 명시적으로 규정된 경우를 제외하고 모든 주문은 취소 및 환불이 불가능합니다.

참고: 이 섹션 2.3을 공급업체를 통해 결제하는 앱에는 적용되지 않습니다(아래 섹션 2.5 참조).

2.4. 평가판 기간. Atlassian Marketplace에서는 앱에 대해 무료 평가판 기간을 제공할 수 있습니다. 평가판 기간이 만료된 후 앱을 주문하지 않으면 앱이 작동을 멈추며 앱 사본 및 관련 라이선스 또는 액세스 키의 사용을 중단하고 삭제해야 합니다.

2.5. Paid-via-Vendor Apps. While most Apps are provisioned by Atlassian as described in Section 2.1, some Third Party Apps may be enabled or paid for through a third party Vendor’s own website (“Paid-via-Vendor Apps”). Paid-via-Vendor Apps will be identified in their listings or when you enable or pay for the App. Section 2.2 (Paid Apps) and Section 2.3 (Return Policy) do not apply to Paid-via-Vendor Apps and returns, if any, would be governed by the applicable Vendor Terms.

3.1. 공급업체 약관. 본 이용 약관의 면책 조항, 제한 사항 또는 기타 조항을 제한하지 않고, 앱 사용에는 라이선스 또는 구독 약관, 개인 정보 보호 정책 및 약관에 설명된 사용 제한을 포함하여 공급업체가 지정한 기타 관련 약관(“공급업체 약관”)이 적용됩니다. 공급업체 약관은 일반적으로 앱의 리스팅 페이지에 포함되거나 주문 프로세스를 통해 제공됩니다. 관련 공급업체 약관에 동의하지 않으면 앱을 사용할 수 없습니다.

3.2. 지원 및 유지 관리. 타사 앱에 대한 모든 지원 및 유지 관리는 해당 공급업체가 해당 공급업체 약관에 기술된 범위까지만 제공합니다. Atlassian은 타사 앱에 대한 어떠한 지원 및 유지 관리에 대해서도 책임을 지지 않으며, 공급업체가 지원 또는 유지 관리를 제공하지 않더라도 사용자에게 환불에 대한 권리가 부여되지 않습니다. 공급업체가 Atlassian인 경우 Atlassian 약관에 따라 지원 및 유지 관리를 제공합니다.

3.3. 권리의 보유. 본 이용 약관 및 각 앱에 대한 공급업체 약관에서 사용자에게 명시적으로 부여된 권리를 제외하고, Atlassian Marketplace의 모든 권리, 소유권 및 이익(지적 재산권 포함)은 Atlassian이 보유하며, 앱의 모든 권리, 소유권 및 이익(지적 재산권 포함)은 해당 공급업체 및 라이선스 제공자가 보유 및 유지합니다. 앱은 판매되지 않고 라이선스 또는 구독 기반으로 제공되며, 사용자는 Atlassian Marketplace 또는 앱에 대한 어떠한 소유권도 취득하지 않습니다.

4.1. 주문 정보. Atlassian을 통해 Marketplace 앱을 주문하는 경우, Atlassian은 사용자의 이름, 회사명(있는 경우), 주소(이메일 주소 포함), 전화번호 등 사용자가 주문을 완료할 때 제공한 정보를 공급업체에 제공합니다.

4.2. 타사 공급업체의 데이터 사용. Atlassian 약관에서 언급한 바와 같이, 타사 앱을 주문하는 경우, 사용자는 공급업체가 해당 Atlassian 제품의 특정 데이터에 액세스하거나 사용할 수 있는 권한을 부여합니다. 여기에는 그러한 데이터를 전송, 이전, 수정 또는 삭제하거나 공급업체 또는 타사 시스템에 그러한 데이터를 저장하는 것이 포함될 수 있습니다. 타사 공급업체가 액세스한 데이터(Atlassian 제품의 데이터 또는 사용자 또는 사용자의 장치에서 별도로 수집한 데이터)를 사용하는 경우 해당 공급업체 약관이 적용됩니다. 4.3. Atlassian에서 Marketplace 데이터 사용. 사용자의 Atlassian Marketplace 사용 및 주문에 따라 Atlassian이 사용자로부터 수집하거나 사용자를 대신하여 타사 공급업체로부터 받는 모든 데이터(예: 섹션 2.5(공급업체를 통해 결제는 앱)에 따른 구입 관련된 주문 상세 정보)에는 Atlassian 개인 정보 보호 정책이 적용됩니다.

4.4. Analytics and Usage Data. In addition, you authorize Atlassian to collect and use technical data and related information (including technical information relating to your device, system, and the App), in non-personally identifiable form, to facilitate the provision of software updates, product support, marketing efforts and other services to you related to the App. Atlassian may use this information, as long as it is in a form that does not personally identify individual users, to improve its products or to provide services or technology to you (including the Atlassian Marketplace and Atlassian Products).

Atlassian Marketplace에서는 사용자가 Marketplace 앱의 리뷰(예: 별점 평가)를 게시하고 다른 사용자의 리뷰에 댓글을 달 수 있습니다.

5.1. 표시되는 사용자 이름. 리뷰 및 댓글은 콘텐츠를 제출하는 (Atlassian 계정에 등록된) 사용자의 이름 및 프로필 아래에 게시됩니다. 이름이나 기타 프로필 정보(프로필 사진 등)를 표시하지 않으려는 사용자는 Atlassian Marketplace에 리뷰나 댓글을 게시할 수 없습니다.

5.2. 리뷰 규칙. 모든 리뷰와 의견은 Atlassian의 사용 제한 정책 및 아래 약관을 준수해야 합니다. 유용한 리뷰 및 댓글을 작성하려면 다음을 참조하십시오.

• 리뷰는 관련 앱을 합리적으로 평가한 후 선의로 작성해야 합니다.

• 이후에 남긴 리뷰가 추가적인 평가에 따라 선의로 평점을 변경한 경우가 아니라면, 사용자는 앱당 하나의 리뷰만 게시할 수 있습니다. 수정된 모든 리뷰는 “편집됨”으로 표시합니다.

• 사용자(사용자를 대신하여 활동하는 사람 포함)는 사용자의 앱, 사용자가 근무하는 회사가 소유한 앱 또는 경쟁업체의 앱에 대해 리뷰 또는 댓글을 작성할 수 없습니다. 예외적으로, 앱 리스팅의 리뷰 또는 댓글 섹션에서 지원 요청 또는 기타 문의에 대해서는 정보 제공 목적의 답변을 제공할 수 있습니다.

• 리뷰는 앱 자체를 평가해야 하며 앱이 통합되거나 작동하는 기본 제품에 대한 평가가 아니어야 합니다.

• 앱과 관련이 없는 리뷰나 댓글은 금지됩니다(예: Atlassian 또는 다른 회사의 직원, 비즈니스 또는 주식, 관련 없는 제품이나 서비스에 대한 논의 등).

5.3. Atlassian 권리. Atlassian은 어떠한 이유로든 언제든지 단독 재량에 따라 Atlassian Marketplace 대한 리뷰 또는 댓글을 삭제하거나 편집할 권리를 보유합니다. Atlassian은 사용자가 Atlassian Marketplace에 게시한 리뷰 또는 댓글의 콘텐츠에 대한 소유권을 주장하지 않습니다. 그러나 사용자는 Atlassian에 해당 콘텐츠를 (전체 또는 부분적으로) 사용, 배포, 복제, 수정, 발췌, 기여, 적용, 공개적으로 표시 및 게시하고 현재 알려지거나 나중에 개발된 형식 또는 매체의 기타 작업물에 통합하고 다른 사람들이 이러한 통합을 하도록 허용할 수 있는 비독점적이고, 전 세계적이며, 취소할 수 없고, 영구적이고, 양도 가능하고, (여러 계층를 통해) 하위 라이선스 부여가 가능하고, 로열티가 없는 전액 선불 결제된 라이선스를 부여합니다.

6.1. 진술 및 보증. 사용자(사용자를 대신하는 모든 사람 포함)는 사용자가 다른 계약 또는 정책을 위반하지 않고 (i) 본 이용 약관을 체결하고 법적으로 준수하며, (ii) 주문하고, (iii) 섹션 4에 설명된 대로 사용자의 데이터 및 정보에 액세스하고 이를 사용할 수 있는 권한을 공급업체에게 부여하는 데 필요한 모든 권리 및 권한이 있음을 진술하고 보증합니다.

6.2. Compliance with Law and Reservation of Rights. You must use the Atlassian Marketplace and Marketplace Apps in compliance with all applicable laws.

6.3. Use Restrictions. You may not use any scraping, crawling, data mining, or other bulk collection methods to extract data from Atlassian Marketplace.

6.4. Indemnification. You agree to indemnify, defend (at Atlassian’s request) and hold harmless Atlassian, its affiliates, and its and their officers, agents and employees from any claims by third parties, and any related damages, losses or costs (including reasonable attorney fees and costs) arising out of your violation of these Terms of Use or the applicable Vendor Terms, your violation of any rights of a third party, or any content you submit to or publish on the Atlassian Marketplace. You may not settle any such claim without Atlassian’s prior written consent.

7.1. 구체적인 이유. 다본 약관에 따른 사용자의 권리는 사용자가 본 이용 약관의 조항을 준수하지 않을 경우 자동으로 종료됩니다. 이러한 종료가 발생할 경우, 사용자는 Atlassian Marketplace의 모든 사용을 중단해야 하며, Atlassian은 사용자에게 통지하지 않고 구입에 대한 환불 없이 Atlassian Marketplace에 대한 사용자의 액세스를 즉시 철회할 수 있습니다.

7.2. Marketplace 중단. Atlassian은 재량에 따라 Atlassian Marketplace를 중단하는 경우 사용자에게 통지 없이 본 이용 약관을 종료할 수 있습니다.

7.3. 앱에 미치는 영향. 본 이용 약관이 종료되는 경우, 이전에 취득한 앱을 사용할 수 있는 사용자의 권리는 해당 공급업체 약관에 따라 유지됩니다.

7.4. 존속. 3.1(b)(Atlassian 약관)(Atlassian 앱의 지속적인 사용에 해당되는 경우), 3.3(권리의 보유), 4(데이터 수집 및 공유), 5.3(Atlassian 권리) 및 6(사용자의 책임)에서 10(일반)까지의 섹션은 본 이용 약관의 종료 또는 만료 시에도 존속됩니다.

8.1. Third Party Apps. A significant portion of the Marketplace Apps in the Atlassian Marketplace are provided by parties other than Atlassian. Third party Vendors are solely responsible for their Apps and any related content or materials included in their Apps. Atlassian has no liability or responsibility whatsoever for any Third Party Apps, including their accuracy, reliability, availability, security, data handling, data processing, completeness, usefulness or quality, even if Atlassian is hosting such App. These disclaimers apply even if an App complies with Atlassian’s guidelines for Third Party Apps (located on Atlassian’s web properties such as developer.atlassian.com), and even if Atlassian has reviewed, certified, or approved the Third Party App, if the Vendor participates in any one of Atlassian’s App programs such as those described here (“App Programs”). Any use of Third Party Apps is at your sole discretion and risk. Vendors are solely responsible for ensuring that any information they submit in connection with any App Program is accurate, complete and correct, and Atlassian is not responsible for the standards or business practices of any third party Vendor (whether support, availability, security or otherwise), even if the Vendor participates in an App Program. You should always independently verify that any Third Party Apps or Vendor business practices meet your needs. In addition, Atlassian is not responsible for any third party websites to which the Atlassian Marketplace links or their terms of use or privacy policies. You should use your discretion when visiting third party websites.

8.2. Removal of Apps. At any time, Atlassian may remove an App from the Atlassian Marketplace in accordance with its applicable policies, and Vendors may also update, modify or remove their own Apps at any time.

8.3. 상호 운용성. Atlassian은 모든 앱이 Atlassian 제품에서 제대로 작동하거나 시간이 지나며 Atlassian 제품이 변함에 따라 앱이 계속 작동할 것이라고 보장하지 않습니다. 일부 앱은 공급업체 또는 타사가 제공하는 호스팅 서비스 또는 Cloud 서비스에 의존하며, 이러한 앱은 해당 서비스가 중단될 경우 제대로 작동하지 않거나 운영하지 못할 수 있습니다.

8.6. Atlassian 앱에 대한 보증 면책 조항 및 책임의 제한. 섹션 8.4(보증 면책 조항) 및 8.5(책임의 제한)는 Atlassian 약관에 있는 Atlassian 앱에 대한 면책 조항 또는 책임의 제한을 변경하지 않으며, 면책 조항 또는 책임의 제한은 계속해서 완전히 적용됩니다.

8.7. 거래의 기반, 필수 목적의 실패. Atlassian은 책임의 제한, 보증 면책 조항 및 여기에 명시된 위험 할당과 관련된 기타 조항에 따라 본 이용 약관을 체결했으며, 사용자는 이러한 조항이 당사자 간 거래의 필수적인 기반이라는 데 동의합니다. 사용자는 본 섹션 8에 명시된 권리 포기 및 제한 사항은 계약, 불법 행위(과실 포함), 무과실 책임 또는 기타 행위의 형태에 관계없이 적용되며 본 이용 약관에 명시된 제한된 구제책이 본질적인 목적에 실패한 경우에도 유지 및 적용됨에 동의합니다.

8.8. Atlassian Affiliates and Contractors. You acknowledge and agree that Atlassian’s affiliates, contractors and service providers may exercise all rights of Atlassian under these Terms of Use, and that all limitations of liability and disclaimers in these Terms of Use apply fully to and benefit Atlassian’s affiliates.

9.1. 비공식적 해결. 본 이용 약관으로 인해 또는 이와 관련하여 논쟁이나 클레임이 발생할 경우, 양 당사자는 서로 협의하고 협상하며 상호 이익을 인정하고 양 당사자에게 만족스러운 해결책을 제시하려고 시도합니다. 양 당사자가 60일 이내에 합의에 도달하지 못할 경우, 양 당사자는 섹션 9.2(준거법, 관할권)에 의겨하여 본 이용 약관에 따라 구제책을 추구할 수 있습니다. 본 섹션 9.1에 따른 모든 협상은 기밀로 유지되며 관련 법률 및 관할권의 증거의 모든 비슷한 규정 및 규약을 목적으로 한 타협 및 합의 협상으로 취급됩니다.

9.2. 준거법, 관할권. 본 이용 약관에는 미국 캘리포니아주의 법률이 적용됩니다. 또한, 본 이용 약관은 법률 충돌과 관련해 해당 주의 원칙에 영향을 미치지 않고 해당 법률에 의거하여 해석됩니다. 각 당사자는 본 이용 약관으로 인해 또는 이와 관련하여 발생하는 모든 소송, 법적 조치 또는 절차가 미국 캘리포니아 샌프란시스코에 있는 주 법원 또는 연방법원에서만 독점적으로 제기되어야 하며, 해당되는 주의 절차상 규칙과 처리 과정이 적용된다는 점에 대해 취소 불가능한 동의를 제공합니다. 또한 각 당사자는 상대 당사자에 의해 제기되었거나 상대 당사자에 대해 제기된 모든 소송, 법적 조치 또는 절차가 미국 캘리포니아 샌프란시스코의 법원의 독점적인 전속관할권에 제출되어야 한다는 점에 취소 불가능한 동의를 제공합니다.

9.3. 금지명령구제, 집행. 섹션 9.1(비공식적 해결) 및 9.2(준거법, 관할권)의 조항에도 불구하고, 본 이용 약관의 어떠한 조항도 Atlassian이 해당 관할권에서 지적 재산권, 기밀 유지 의무, 모든 판정 또는 명령의 집행 또는 인정의 위반과 관련하여 금지명령구제를 추구하는 것을 방해하지 않습니다.

9.4. UN 협약 및 UCITA 제외. 국제물품매매계약에 관한 국제연합 협약의 조항은 본 이용 약관에 적용되지 않습니다. UCITA(Uniform Computer Information Transactions Act)는 채택 시기나 장소에 관계없이 본 이용 약관에 적용되지 않습니다.

10.1. 약관 변경. Atlassian은 개정된 약관을 Atlassian Marketplace에 게시하여 단독 재량에 따라 본 이용 약관을 수정할 수 있습니다. Marketplace를 계속 이용하려면 수정된 이용 약관에 클릭하여 동의해야 할 수 있으며, 어떠한 경우에도 수정 발효일 이후에 Atlassian Marketplace를 계속 사용하면(향후 주문 포함) 수정된 약관에 동의하는 것으로 간주됩니다. 명확성을 위해, 주문의 목적을 달성할 수 있도록 주문 시점에 제공된 버전의 이용 약관이 적용됩니다. 본 섹션 10.1에 규정된 경우를 제외하고, 본 이용 약관의 모든 변경 또는 수정에는 사용자와 Atlassian의 서면 동의가 필요합니다.

10.2. 저작권 및 상표권 위반 신고. Atlassian Marketplace의 콘텐츠가 저작권을 침해한다고 생각되면 저작권 및 상표 위반 신고에 설명된 절차를 따르십시오.

10.3. Contact Information. For communications concerning these Terms of Use (other than copyright and trademark concerns covered in Section 10.2), please write to legal@atlassian.com. Atlassian may send you notices through your Atlassian account or to your email address that is on file with Atlassian.

10.4. 전체 계약. 본 이용 약관은 해당 주제와 관련해 양 당사자 간의 완벽한 합의를 구성하며, 해당 주제와 관련해 양 당사자간 있었던 모든 과거 또는 현재의 계약을 대체합니다. 명확성을 위해, 이는 위의 섹션 3에 따라 적용되는 공급업체 약관을 제한하지 않습니다.

10.5. 해석. 본 이용 약관의 어느 조항이 본 이용 약관의 당사자를 관할하는 법원에서 무효로 판명나는 경우, 해당 조항은 해당 법률에 따라 당사자의 원래 의도를 최대한 반영하도록 재작성된 것으로 간주되며 본 이용약관의 나머지 부분은 완전한 효력을 지닙니다. Atlassian이 본 이용 약관의 조항을 집행하지 않는다고 해서 Atlassian이 해당 조항을 이후에 시행할 권리를 포기하는 것으로 간주되지 않습니다. 본 이용 약관에서 제목은 편의를 위한 것일 뿐이며 “포함”과 같은 용어는 제한 없이 해석되어야 합니다.

10.6. Assignment. You may not assign or transfer any of your rights or obligations under these Terms of Use without Atlassian’s prior written consent. However, you may assign these Terms of Use in their entirety to your successor resulting from a merger, acquisition, or sale of all or substantially all of your assets or voting securities, provided that you provide Atlassian with prompt written notice of the assignment and the assignee agrees in writing to assume all of your obligations under this Agreement and complies with Atlassian’s procedural and documentation requirements to give effect to the assignment.

10.7. No Agency. Nothing in these Terms of Use or any Order is intended to, or shall be deemed to, make Atlassian your agent, or authorize Atlassian to make or enter into any commitments for you or on your behalf.

10.8. Export Laws and Regulations. You may not use or otherwise export or re-export the Marketplace Apps except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, but without limitation, Apps may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S Treasury Department’s list of Specially Designated Nationals and Consolidated Sanctions list or the U.S. Department of Commerce’s Denied Persons, Entity, or Unverified Lists. By using any Marketplace App, you represent and warrant that you are not located in any such country or on any such list. You agree not to use or provide the Apps for any prohibited end use, including to support any nuclear, chemical, or biological weapons proliferation, or missile technology, without the prior permission of the United States government.
